BREAKING NEWS: Anthropic’s IPO Prospectus Revealed
**Reuters has seen Anthropic’s IPO prospectus, and it’s huge.**

The company behind Claude filed confidentially with the SEC on June 1. Tonight’s reporting gives the first real look inside what could be the first public listing of a frontier AI lab, at a possible valuation above $2 trillion.
The Key Details
– The filing: Anthropic confidentially submitted a draft S-1 on June 1, 2026. Share count and price haven’t been set, and no public S-1 has been posted yet.
Valuation and raise: Reuters says the IPO could value Anthropic at more than $2 trillion. That’s more than double the $965 billion valuation from its $65 billion funding round in May. The Wall Street Journal reports the raise could be as large as $100 billion.
– Exchange and banks: Bloomberg reports Anthropic chose Nasdaq, with Morgan Stanley, Goldman Sachs and JPMorgan leading and Citigroup joining. No ticker has been announced.

– The numbers, per Reuters: Revenue grew 12-fold in 2025 to nearly $4.6 billion. The operating loss was over $8 billion, and the net loss was about $42 billion, which includes a roughly $34 billion accounting charge. Anthropic ended the year with $20.28 billion in cash and short-term investments and has $518 billion in future cloud and infrastructure commitments. Two customers made up nearly a quarter of 2025 revenue.
– Growth: Reuters reported that Anthropic’s annualized revenue run rate topped $65 billion by the end of July.
– Control: A new “Founder LLC” run by the seven co-founders will hold 50.1% of the voting power through a single Class F share.
– Backers: Amazon and Google are early strategic investors and cloud partners. Bloomberg reports Nvidia is weighing an investment of about $10 billion in the offering.
# Why It Matters
This would be the first pure-play frontier AI stock the public market has ever gotten to price. Wherever it trades becomes the benchmark for OpenAI, which also filed confidentially in June, and for the entire AI trade, including SPACEXAI . The risks are just as unusual. About 80 of the prospectus’s 261 pages are risk factors, including a warning that advanced AI could pose “catastrophic or existential risks to humanity.”

## What to Watch Next
1. The public S-1. It has to go public at least 15 days before the roadshow starts.
2. The price range. That’s when we find out whether $2 trillion holds up against the losses and $518 billion in commitments.
3. Timing. Reuters reports the debut will likely slip until after the November midterms.
4. The OpenAI race. OpenAI is expected to list by early 2027.
The biggest innovation IPO ever is getting close. Stay tuned.
